Terms of Service

Last updated: May 18, 2026

These Terms of Service ("Terms") govern your use of the Dogwood Security website (dogwoodsecurity.net) and your engagement with Dogwood Security LLC ("Dogwood Security," "we," "our," or "us") for managed IT, cybersecurity, and physical security services. By using our website or entering a service agreement with us, you agree to these Terms.

1. Website use

You may use this website for lawful purposes only. You agree not to use it to transmit harmful, false, or unlawful content; attempt to gain unauthorized access to our systems; or scrape or harvest content for commercial purposes without our written consent.

We make reasonable efforts to keep this website accurate and available, but we do not guarantee uninterrupted access or that all information is current at all times. Pricing and service details on this website are subject to change; the terms of any signed service agreement govern the actual engagement.

2. Services

Dogwood Security provides managed IT, cybersecurity, and physical security installation and monitoring services. The specific scope, pricing, and conditions of any service engagement are set out in a written service agreement signed by both parties. These Terms apply to the extent they are not superseded by a signed service agreement.

3. Service agreements and term

All managed service engagements require a 12-month initial agreement. Following the initial term, agreements renew on a month-to-month basis unless either party provides 30 days' written notice of intent not to renew.

Early termination during the initial 12-month term requires payment of the remaining months' fees unless otherwise stated in the signed agreement.

4. Payment

Monthly service fees are invoiced at the beginning of each billing period and due within 15 days of invoice date. Hardware and one-time project fees are invoiced per the terms in the relevant proposal or statement of work.

Accounts more than 30 days past due may result in suspension of managed services. Dogwood Security is not liable for issues arising from service suspension due to non-payment.

5. Hardware

Where hardware is bundled into a monthly service plan (as described in our physical security and networking tiers), hardware costs are amortized over the initial 12-month term. Hardware becomes the client's property upon completion of the initial term. Hardware billed separately (cost + margin) is the client's property upon delivery and payment.

Dogwood Security is not responsible for hardware failure beyond the manufacturer's warranty. Replacement hardware is billed at our then-current rates.

6. Client responsibilities

To allow us to deliver services effectively, you agree to:

  • Provide reasonable access to systems, facilities, and personnel as needed
  • Designate an authorized point of contact for service decisions
  • Notify us promptly of changes to your environment that may affect services
  • Not use our services for unlawful purposes or to harm third parties
  • Maintain current payment on your account

7. Confidentiality

Both parties agree to keep confidential any non-public information received from the other party in connection with the service relationship. This obligation survives termination of services for a period of three years. Confidentiality does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

8. Limitation of liability

Dogwood Security's total liability to you for any claim arising out of or related to these Terms or any service engagement is limited to the fees paid by you in the three months preceding the claim.

Dogwood Security is not liable for indirect, incidental, consequential, or punitive damages — including lost profits, data loss, or business interruption — even if we have been advised of the possibility of such damages.

Managed cybersecurity and IT services reduce risk but do not eliminate it. We do not guarantee that your systems will be immune from all security incidents.

9. Indemnification

You agree to indemnify and hold Dogwood Security harmless from any claims, losses, or damages arising from your misuse of our services, your violation of these Terms, or your violation of any third-party rights.

10. Intellectual property

All content on this website — text, graphics, logos, and code — is owned by or licensed to Dogwood Security. You may not reproduce, distribute, or create derivative works without our written consent.

Documentation we create for your environment (network diagrams, runbooks, asset inventories) belongs to you. We retain the right to use anonymized, non-identifying service methodologies in other engagements.

11. Governing law and disputes

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-law provisions. Any dispute arising from these Terms or a service engagement shall be resolved in the state or federal courts located in Anderson County, Texas. Both parties consent to personal jurisdiction in those courts.

12. Changes to these terms

We may update these Terms from time to time. Material changes will be noted by updating the "Last updated" date at the top of this page. Continued use of our website or services after changes are posted constitutes acceptance of the updated Terms. Changes do not retroactively alter the terms of any signed service agreement.
